General Counsels, Corporate Secretaries


Mamalian
$241 million Apptis, a provider of IT and communications services to the federal marketplace, has appointed Paul Mamalian general counsel and secretary. Prior to joining Apptis, Mamalian most recently was general counsel and secretary for Choice Hotels International.

$11.4 billion Entergy Corp. has named Steven Agresta as executive vice president, general counsel, and chief legal officer for its Jackson, Miss.-based spin-off company, Enexus Energy. Agresta comes to Enexus from the law firm Alston & Bird, where he led the energy group in the firm’s Washington, D.C., office.

Accounting Officers, Controllers

SBA Communications Corporation, based in Boca Raton, Fla., has appointed Brian Lazarus vice president and chief accounting officer. Lazarus, who is currently corporate controller, will succeed Brendan Cavanagh, who has been promoted to senior vice president and chief financial officer.

Chief Risk, Compliance Officers


Dallavecchia
Michael Shaw has been named chief risk officer of Fannie Mae as part of the company’s credit loss reduction plan. Shaw joined Fannie Mae in 2006 as senior vice president of credit risk oversight. He replaces Enrico Dallavecchia, who has resigned.

Assurant, a specialty insurance and insurance-related products and services provider, has appointed Jay Cohen as senior vice president and chief compliance officer. Prior to joining Assurant, Cohen was the global compliance leader and chief privacy officer at Dun & Bradstreet Corp.

The Government National Mortgage Association (“Ginnie Mae”) has appointed Stephen Ledbetter to the newly created role of chief risk officer. The government-owned company says the appointment is aimed at improving the oversight of its mortgage-backed securities. Ledbetter will retain his role as acting vice president of the Office of Mortgage-Backed Securities.

Bermuda-based Max Capital Group has appointed Kevin Werle as executive vice president and chief risk officer. Werle, an insurance industry veteran, most recently served as vice president for risk management, information technology, and quantitative research for New England Asset Management, a unit of Berkshire Hathaway’s General Reinsurance Corp.

On the Board

$25.2 billion Humana has elected Marissa Peterson to its board of directors. She will also serve on the organization and compensation and nominating and corporate governance committees. Peterson retired in 2005 after 17 years with Sun Microsystems, where she served as executive vice president of worldwide operations, executive vice president of services, and chief customer advocate. Her election brings the number of Humana directors to nine.


Glick
William Glick has been elected to serve on Lithia Motors’ board of directors. He also will serve on the corporate governance, compensation, and audit committees. Glick has 34 years of service with Ford Motor Co., where he held numerous management positions in its sales and marketing division.

Bermuda-based $1.4 billion Allied World Assurance has appointed Patrick de Saint-Aignan to its board of directors. De Saint-Aignan, who has more than 30 years experience in investment banking, most recently served as an advisory director at Morgan Stanley.

$2.2 billion American Water Works has named Richard Grigg as an independent member of its board of directors. Grigg currently serves as executive vice president of FirstEnergy Corp. and president of Akron, Ohio-based FirstEnergy Utilities Group.

American Financial Group has elected John Von Lehman to its board of directors. He also will serve on the audit committee. Von Lehman most recently served as executive vice president and secretary from 1998 to 2007 with Midland Co., an Ohio-based provider of specialty insurance products and services.

Watterworth
Jefferson Wells, a global provider of internal audit, technology risk, tax, and financial advisory services, announced that Randy Watterworth has joined its Dallas/Forth Worth office as director of internal audit and controls. Watterworth, who brings more than 20 years of audit expertise to Jefferson Wells, most recently was audit director for McLane Co.

Software firm FRSGlobal has acquired Iris Integrated Risk Management AG, a provider of risk-management solutions. The acquisition enables FRSGlobal to introduce the first combined risk and regulatory solution for financial services—addressing the need to create a single, reliable data framework to best manage risk and meet increasing global regulatory demands.
