Compensation Discussion & Analysis
In July 2006, the Securities and Exchange Commission voted to adopt changes to the rules requiring disclosure of executive and director compensation. Among the new provisions was a new disclosure section, Compensation Discussion & Analysis, which was intended to be a "principles-based narrative" addressing the objectives and implementation of executive compensation programs. The search below was launched to help companies understand how their peers are addressing the CD&A, which was effective for companies with fiscal years ending on or after December 15, 2006, and therefore applies to disclosures of 2006 compensation in companies’ 2007 proxy statements.
