Audit Fee Increases Continue in ’06
The relentless inflation of audit fees finally diminished in 2006, but hopes of a decrease in fees must wait another year. According to exclusive Compliance Week research, median audit fees at the Standard & Poor’s 500 rose 7.2 percent last year—unpleasant, but still less than the double-digit increases seen in previous years. Included with the article is a downloadable spreadsheet of audit costs—including non-audit, tax, and other fees—at the S&P 500.

More Execs Out the Door After Restatements
Financial restatements force companies to throw supposedly reliable numbers out the window; increasingly, executives at those companies are getting defenestrated as well. That’s according to a Compliance Week analysis of executive turnover for 2005 and 2006, which showed that the number of companies experiencing executive or auditor turnover in the wake of a restatement is rising markedly. Details and a spreadsheet tracking executive turnover are inside.

Rise and Fall of Late Filings, Courtesy of SOX
Corporate America’s on-time performance in filing financial statements has been somewhat lacking in recent years. According to exclusive Compliance Week research, notice of late filings spiked 19 percent from 2004 to 2006, primarily due to the soaring number of restatements this decade. But as large companies grow accustomed to Sarbanes-Oxley and make fewer restatements (a trend already underway), experts now expect late filings to fall as well. At the same time, more companies making late filings are also disclosing the reasons why. Full details, including a spreadsheet tracking the reasons for late filings, are inside.

An Exclusive Report On Perks (Four Parts)
Perks have long been one of the most controversial elements of executive compensation. And starting this spring, Corporate America has had to disclose perks and their costs in much greater detail—from personal use of company aircraft to club memberships and home security. Compliance Week's four-part series examining the perks awarded to 250 of the S&P 500 includes a downloadable spreadsheet of perks of all the data used in the report.

At Home And Abroad, Say-On-Pay Takes Root
“Say-on-pay” policies, giving shareholders advisory votes over executive compensation, are sweeping Corporate America. Just recently, Verizon and Blockbuster both saw majority votes in favor of say-on-pay proposals, and more than a dozen other companies have seen strong shareholder support for it. Inside is a look at the latest say-on-pay developments in the United States and how say on pay has already worked in Great Britain, Australia, and elsewhere. A downloadable spreadsheet of CEO pay levels in the U.S. and six other nations is included.

Survey Says: Consultants In Widespread Use
A Compliance Week analysis of 250 CD&As filed so far this year shows that 78 percent of companies used compensation consultants, mostly to conduct surveys of pay levels or to help prepare proxy disclosures. According to the Compliance Week analysis, just two firms, Towers Perrin and Mercer HR Consulting, were hired by one-third of companies surveyed. Included is a downloadable spreadsheet of companies and their compensation consultants, plus details on the market.

Rick Steinberg's Five-Part Series on ERM
Lots of people talk about enterprise risk management, but few truly understand how to build an ERM system that really works. Compliance Week columnist Richard Steinberg—principal author of the COSO ERM framework—has written an exclusive, multi-part series examining ERM in detail. He starts with the basics, defining ERM (“a company’s process to identify, assess, and manage risk that could interfere with achieving any of its corporate objectives”) and provides examples of ERM in practice at three very different companies. The remaining columns deal with why a company would want an effective ERM process, including the benefits it brings; some of the more effective techniques for applying ERM; where the responsibilities for ERM are best housed; and what methodologies are most effective for implementing an ERM system, including pitfalls to watch out for.
