Andrew M. Baker is a senior corporate partner in the Houston and Dallas, Texas offices of Baker Botts L.L.P., and has substantial experience in governmental and corporate investigations on behalf of corporate clients as well as boards of directors, and audit and other independent board committees. For almost five years, as its senior outside corporate legal advisor, Mr. Baker led Halliburton Company’s response to one of the largest FCPA enforcement investigations in the history of the FCPA.
Mr. Baker also led negotiations with the Department of Justice in obtaining DOJ Opinion Procedure Release 08-02, a groundbreaking DOJ FCPA opinion relating to international mergers and acquisitions. The opinion provides a template for United States corporations to compete on a level playing field when bidding in an auction process for control of a company against bidders that are organized in countries with less-rigorous anti-corruption enforcement. The opinion provides practical solutions to the inherent limitations of auction processes that make them impossible to accommodate thorough pre-signing and pre-closing due diligence.
Mr. Baker's practice emphasizes the development of close, long-term, value-added relationships. Public and private companies turn to Mr. Baker for advice and deal execution in connection with mergers and acquisitions, joint ventures, securities compliance, securities offerings and other finance transactions of all stripes. Mr. Baker also represents companies, boards and audit committees in corporate and SEC investigations generally, and counsels on governance, disclosures, crisis response, dispute resolution, strategic planning and communications.
