SEC Squinting at Overseas Earnings

Companies that keep offshore earnings abroad to avoid U.S. taxes have some explaining to do to satisfy not just tax authorities, but the Securities and Exchange Commission. The agency is scrutinizing such disclosures carefully these days, SEC staffer Mark Shannon said at the recent Compliance Week 2011 conference, to make sure companies are explaining offshore earnings to investors properly. Restatements by Small Companies Could Revive SOX 404 Debate

The number of non-accelerated filers restating financial reports jumped nearly 14 percent last year, while restatements at larger companies continued their three-year decline. That divergence is prompting some to wonder whether small filers' exemption from internal control audits is to blame. After 3 Years of Decline, Restatements Turn Up in 2010

After declining for three years, the number of accounting restatements rose by 8 percent in 2010. Driven primarily by problems with accounting for debt and an increase in restatements among non-accelerated filers, the total number of financial reporting do-overs climbed to 735, based on analysis from Audit Analytics.
